What Is A 1031 Exchange?

This is an opportunity for you to grow your portfolio and reach your real estate goals while deferring taxes. It removes obstacles to building equity while you continue to invest.

The IRS applies a broad definition of “like-kind”, allowing an apartment building to be exchanged for another multifamily asset, a single-tenant NNN property, raw land, or an interest in a Delaware Statutory Trust (DST).

Day 0

Sell and close on your property.

Day 1–45

Identify replacement property.

Day 1–180

Close on replacement property and complete exchange.

1031 Exchange Rules

  • Proceeds must be held by a Qualified Intermediary (QI)
  • The replacement property must be of equal or greater value
  • All net equity must be reinvested (any cash taken out, called “boot,” is taxable)
  • The same entity that sold the relinquished property must hold the new title

Our Market Specialization Helps You Succeed

Our team works collaboratively to manage complex timelines, overlapping deliverables, and ensure all requirements are met for a smooth transaction. Leveraging an array of resources and tools, our clients gain a competitive advantage through our platform.

Managing a 1031 exchange can sound daunting, but our full-service team handles everything for you so that it’s nothing but seamless. You’ll receive a crystal clear explanation of exactly what you can expect from the process, and we’ll take full responsibility for the execution.

We source offerings before they even reach the market, and anticipate your needs and next steps before you think of them.

An exchange may be the key to unlocking built-up equity and providing the opportunity to expand a portfolio and create greater wealth.

How We Optimize Your Exchange

We understand the strict time constraints owners have to work within when it comes to exchanges. That’s why we created a comprehensive approach to navigating the process that optimizes timelines within a proven framework. Here’s what you can expect:

01. Pre-sale exchange planning

We define redeployment objectives, and coordinate with QI before closing. This ensures the timeline begins with a plan already in place.

02. Timeline management

Active management of the 45-day identification period and 180-day closing window allows replacement properties to surface early, rather than under deadline pressure.

03. Replacement property sourcing

Through the Marcus & Millichap platform we access both on-market and off-market opportunities that are matched specifically with your ownership profile.

04. Disciplined underwriting

We evaluate every potential replacement candidate with the same intensity as the CARE™ Report, including verified income, normalized expenses, and yield expectations.

05. Advisor coordination

We work directly with your team of tax and legal advisors to determine an optimal exchange structure, including partial exchanges, multi-property identification strategies, and trust or estate considerations.

1031 Exchange FAQs

The deferred taxes generally remain deferred until the replacement property is sold without completing another exchange. Upon selling your property for cash, all the previously deferred taxes become due. You’ll need to pay tax on the cumulative profits from all the properties exchanged. A long-term wealth preservation strategy can involve repeated exchanges throughout your lifetime.

Yes. The IRS allows you to exchange an investment property in California for a like-kind property in another state.

No. Only US properties can be exchanged under this program.

Yes. You’ll want to speak with your financial advisor or accountant to decide if a partial exchange is in your best interest based on your needs. Consider that once close to 50% of the total value (net equity plus debt retired) is removed, a 1031 exchange may not be the right solution.
